The U.S. Securities and Exchange Commission (SEC) intends to award a firm fixed price purchase order on a sole source basis to EII Holdings II, Inc. (DBA The Deal), 1120 Avenue of the Americas, 6th Floor, New York, York, NY, 10036-6700. The SEC has a requirement for access via the Internet to current information on small cap financing transactions. The requirement is for access to the database (PrivateRaise) that covers PIPE transactions (both registered and unregistered), shell reverse takeovers, Alternative Public Offerings (APOs) whereby shell reverse takeovers are bundled together with simultaneous PIPE offerings, Rule 144As, shelf registrations, At-the-Market Offerings (ATMs), venture capital financings and Special Purpose Acquisition Companies (SPACs). The service shall provide a comprehensive list of all historic, reporting/non-reporting shell companies traded on non-main U.S. stock exchanges. EII Holdings II, Inc. is the only source that provides the required service and capabilities that meet the Commission’s needs. The total award value of the purchase order will be below the Simplified Acquisition Threshold. The purchase order will have a period of performance of 12 months.

The Contracting Officer has reviewed the requirement and determined that EII Holdings II, Inc. is the only source that can meet the SEC’s requirement in accordance with FAR Part 13.106-1 due to exclusive licensing agreements and it is not possible for another source to meet this requirement. This notice is not a competitive request for proposals. A competitive solicitation will not be issued. However, the government will give consideration to interested parties that identify their interest and capability to respond to the requirement or submit proposals by the response date of this notice.
